Corporate Paralegal (1099)

We are seeking a project-based corporate paralegal for our Virtual Paralegal Service team. This is a 1099 remote/virtual position. Availability during the morning/daytime is preferred. The ideal candidate must have an excellent working knowledge of all business entities from formation through dissolution and transactional work, including mergers, acquisitions, stock purchase, and asset purchase transactions. An ordinary day of work might include: Drafting resolutions, consents, minutes, stock transfers, agreements, bylaws, articles, certificates, amendments and affidavits for all types of business entities; Preparing and filing articles, withdrawals, amendments, qualifications, dissolutions, articles of merger, annual reports, business certificates and financing statements in all states; Direct communication with clients and client advisors; Complying with and understanding company operations, policies and procedures; Keeping confidentiality of client and client’s client matters; Performing other related duties as assigned; Familiarity with corporate closings, venture capital financings, and NVCA forms Experience with taking board minutes and corporate secretarial functions
