Key Responsibilities:

  • Run the legal and compliance function end-to-end, setting strategy and standards across all legal areas and delivering on budget and SLAs.
  • Serve as the senior legal advisor to the CEO, COO, co-founders, executive team, and Board on consequential decisions and risk matters.
  • Supervise and develop a team of four, set clear expectations, manage performance, and build a culture of ownership and independent judgment.

Commercial and Regulatory Ownership:

  • Lead the commercial legal function, personally drafting and negotiating the company's most consequential customer and partnership agreements.
  • Own the regulatory and compliance posture across Medicare Advantage, Medicaid, EBT, card programs, HIPAA, and state-level fintech and privacy obligations.
  • Lead legal workstreams for expansion into EBT and public sector programs, including state-level contracting and compliance framework development.

Operational and Risk Management:

  • Manage corporate governance, including Board support, equity administration, and serving in designated officer roles such as Anti-Money Laundering Officer.
  • Own enterprise risk management for legal exposure, including indemnification, insurance coordination, and risk allocation in new agreements.
  • Drive legal operations maturity with contract templates, playbooks, and systems to scale the function efficiently.
