M&A Associate

Accountabilities:

• Draft, review, and negotiate transaction documents including Stock Purchase Agreements, Asset Purchase Agreements, and confidentiality agreements.
• Conduct legal due diligence to identify potential legal, regulatory, and commercial risks.
• Support all phases of private M&A transactions, including structuring, negotiation, and closing.

Requirements:

• J.D. or equivalent law degree and active license to practice law in at least one U.S. jurisdiction.
• Approximately 5+ years of experience supporting private company M&A transactions.
• Demonstrated expertise drafting and negotiating Stock Purchase Agreements and Asset Purchase Agreements.
