Role Summary:

  • Reporting to the CFO, the Corporate and Commercial Lawyer serves as a trusted legal advisor to business units, focusing on commercial and corporate law, contract management, and M&A support.
  • The role also includes assuming the Corporate Secretary duties over time, ensuring compliance with governance best practices.

Responsibilities:

  • Draft, review, and negotiate commercial agreements, including supplier, partner, and customer contracts; ensure legal compliance across commercial activities.
  • Participate in corporate governance by maintaining corporate records, preparing legal documentation, and supporting board meetings.
  • Support strategic transactions, conduct due diligence, and collaborate with internal and external stakeholders, including tax advisors and financial institutions.

Qualifications and Benefits:

  • Bachelor of Laws (LL.B. or J.D.) and member of the Barreau du Québec with 10+ years of experience in corporate and commercial law; bilingual in French and English.
