Key Responsibilities:
- Public Company Compliance & Governance: Own all SEC reporting obligations, lead Sarbanes-Oxley compliance, manage board governance and committee charters, and serve as legal liaison to independent directors.
- Oversight of Legal Function: Iterate on legal infrastructure, design and manage outside counsel engagement, and oversee risk philosophy across capital financing and transaction matters.
- Employment & Equity Compensation: Manage equity plans, draft executive agreements, and advise on employment law across the portfolio.
Crisis Management & Strategic Counsel:
- Provide calm, steady presence during shareholder demands, regulatory inquiries, or litigation, communicating clearly to the board.
- Deliver real-time legal counsel that helps the CEO and leadership make better decisions, not just safer ones.
