Assistant General Counsel – Corporate, Commercial & Structured Finance

**Structured Finance & Capital Markets:**

• Lead negotiation and execution of complex debt facilities, warehouse lines of credit, and asset-backed securitizations.
• Serve as primary legal liaison to institutional lenders, credit funds, and rating agencies.
• Oversee transaction lifecycle, borrowing base compliance, and covenant monitoring.

**Commercial & Corporate Law:**

• Draft and negotiate enterprise contracts, vendor agreements, and broker/ISO agreements.
• Support corporate governance, subsidiary management, and equity/debt financing documentation.
• Align products with federal and state regulations and licensing requirements.

**Leadership & Team Growth:**

• Manage and mentor a team of corporate and commercial attorneys.
• Build scalable legal processes and contract management tools.
• Manage outside counsel to ensure high-quality execution within budget.
